COMICSTATION SPONSOR TERMS
(Translation sponsorship – concluded electronically)
DRAFT – LAWYER REVIEW REQUIRED. This is not legal advice. If the Vietnamese and English texts differ, the Vietnamese version prevails.

Clause 1. Sponsorship is a prepaid service fee
1.1. A translation sponsorship is a one-time spend of coins for ComicStation to produce an AI translation of one chapter into one language. The creator grants you, through ComicStation, a licence to use the original work for that translation and to share revenue under Clause 3. You do not own the AI translation.
1.2. A sponsorship is prepaid service credit. It is not a capital contribution, loan, security, share, future or other financial product. You are not buying a piece of the comic. No payment is guaranteed.
1.3. You acquire no ownership of the original work or of the AI translation. You may not copy the translation off the Platform, and you may not sell, give or transfer the sponsor position. It stays on your account and is non-transferable.
1.4. Each chapter and each language has one sponsor. Everyone after you reads the existing translation at the later-reader price and does not become a second sponsor.
Clause 2. Coins and the sponsor reward
2.1. Coins are prepaid service credit. They are not money, they are not exchangeable for cash, they are not transferable between accounts, and they are not redeemable. ComicStation is an e-commerce platform and a distributor: it sells reading access and pays royalties. It is not a collection agent and it is not a wallet. A sponsor reward is recorded in money on a separate ledger, labelled "Sponsor reward", in the VND or USD currency you chose. The coin balance and the money ledger are two different books.
2.2. A reward is not guaranteed. A reward arises only when a later reader spends coins that have a money value to read the translation you opened. If nobody reads it, or a read spends only bonus coins, you receive no cash reward. The translation stays available for you and later readers.
2.3. The reward cap is read from royalty_config: by default 1.5 times the net cash you sponsored (sponsor_cap_bps = 15000) and a 24-month window from the day the translation went live. After the cap or the window, the sponsor's part of later reads goes to the author. Sponsorship prices and the split may change with prior notice. A change does not turn an opened sponsorship into a different product.
2.4. You may not offer or assign a sponsor position. There are no referral rewards.
Clause 3. Two tiers on each later read
3.1. The split basis is the net cash actually received for the read. Each coin purchase records a per-user lot: the price paid minus the payment-gateway fee, in VND and in USD at the foreign-exchange snapshot taken at purchase. When coins are spent, lots are taken in first-in first-out (FIFO) order. The money value of the consumed lots is split in two tiers, using the live translation_pricing row, not a number frozen in these terms. On the default configuration the remainder is about 49% to the author, 27% to the sponsor and 24% to ComicStation.
- Tier 1: the author receives creator_gross_bps and the sponsor receives sponsor_share_bps.
- Tier 2: ComicStation takes platform_of_creator_bps of the author's part and platform_of_sponsor_bps of the sponsor's part.
- What you keep is the sponsor's part after tier 2, recorded in the payout currency you chose. The foreign-exchange snapshot on the earning does not change at payout.
- Bonus, promotional and free coins carry zero value and create no sponsor reward. Refunds and chargebacks reverse earnings that are still in the holding period.
3.2. Paid reading in the original language is not open. When it opens, the sponsor receives no share of original-language revenue.
Illustrative example, not a promise. The figures are read from translation_pricing when this page is built. They are not written into the terms as fixed prices.
Columns in use: coins_per_page_chapter = 20; later_reader_bps = 3000; creator_gross_bps = 7000; sponsor_share_bps = 3000; platform_of_creator_bps = 3000; platform_of_sponsor_bps = 1000; creator_share_bps = 7000; platform_share_bps = 3000; vnd_per_coin = 1000.
One 20-page chapter. The sponsor pays 20 coins per page, 400 coins for the chapter. One later reader pays 30% of that price, which is 120 coins for the chapter. Tier 1 of the later-reader payment: author 70% = 84 coins; sponsor 30% = 36 coins. Tier 2: ComicStation takes 30% of the author's part = 25.2 coins, and 10% of the sponsor's part = 3.6 coins. Left after both tiers: author 58.8 coins (49%), sponsor 32.4 coins (27%), ComicStation 28.8 coins (24%). Paid original-language reading is not built yet. When it opens, the author receives 70% and ComicStation receives 30%. The sponsor has no share of that line.
The cash basis of a royalty is the net cash actually received for that read. Each coin purchase records a per-user lot whose VND and USD value is the price paid minus the payment-gateway fee, with the foreign-exchange snapshot taken at purchase. When coins are spent, the money value of the lots consumed in first-in first-out (FIFO) order is what the two tiers split. Bonus, promotional and free coins carry zero value and create no royalty. Refunds and chargebacks of a purchase reverse earnings that are still in the holding period.
Clause 4. Failed pages and refunds
4.1. If a page fails or is not delivered, the coins charged for that page are returned to your coin balance. You do not pay for a page that is not delivered.
4.2. The translation is made by AI and may contain errors. The creator may edit it. A translation error is not a refund of the whole sponsorship once the translation has been delivered and can be read.
Clause 5. If the comic is removed
5.1. If ComicStation temporarily removes a comic because of an infringement notice, the translation stops being sold. Sponsor rewards still in the holding period may be frozen so they can be reversed.
5.2. If the comic is removed for infringement, ComicStation refunds sponsorship coins as: the sponsorship coins you paid, minus the sponsor reward you already received on counted reads (including amounts still on hold, which are reversed and not paid), and not below zero. If the comic is removed within 30 days of your sponsorship, you receive a full refund of the original sponsorship coins.
5.3. A reward already paid out in good faith is not clawed back from you. The notice calls this a translation sponsorship refund. A refund of a coin purchase reverses only a reward that is still in the holding period.
5.4. Later readers are refunded for unlocks in the 30 days before the temporary removal. Older unlocks were a service already used and are not refunded, unless the law requires it.
5.5. If a counter-notice succeeds and there is no infringement, the translation is offered again and rewards continue on the holding schedule.
Clause 6. Fraud
6.1. You may not use fake accounts, bots, wash reads, or collusion with the creator or readers to manufacture rewards.
6.2. Fraudulent reads are excluded, the related reward is reversed, and ComicStation may refuse new sponsorships, freeze coins and close the account.
6.3. How many sponsorships you may open in an hour is limited by translation_pricing (sponsor_hourly_limit).
Clause 7. Acceptance and disputes
7.1. You may sponsor or pay for a translated read only after you have been shown these terms, ticked the box, and the request carries the version and the hash of the text then in force. ComicStation stores one acceptance per user per version, and an additional row that points at each sponsorship.
7.2. Complaints go first through the channel on the Platform for 30 days. These terms are governed by the laws of Vietnam. A consumer keeps the rights in the 2023 Law on Protection of Consumer Rights, including the right to take a dispute to a competent body. These terms do not force arbitration where that law does not allow it.
7.3. A translation opens only on a comic whose creator has allowed translation, or on an open work whose licence allows commercial use and derivatives.
